Please read these Terms and Conditions (“Terms”) carefully before using the website or services of Vortex Vision Marketing (“Vortex Vision Marketing,” “we,” “us,” or “our”). We are based in Toronto, Ontario, Canada and provide services to clients worldwide. By accessing our website or engaging our services, you agree to be bound by these Terms and all applicable laws.

If you do not agree with any part of these Terms, do not use our website or services.

1. Eligibility

Our services are intended for individuals and businesses aged 18 or older. By using our site or entering into an agreement with us, you represent that you meet this requirement and that you have the authority to bind any organization on whose behalf you act.

2. Services Provided

Vortex Vision Marketing provides branding and design, website and SaaS development, paid marketing campaigns, social media marketing, sales funnels and email systems, AI voice agents, and AI workflow automation, along with related consulting. The specific scope, deliverables, fees, and timelines for any engagement are defined in a written proposal, statement of work, or service agreement (the “Agreement”).

We may accept or decline any project at our sole discretion. Where these Terms and an executed Agreement conflict, the Agreement governs for that engagement.

3. Proposals & Scope of Work

Each engagement is defined by its Agreement. Work, requests, or features outside the agreed scope are considered new work and may require a revised quote and timeline. Verbal requests are not binding until confirmed in writing.

4. Client Responsibilities

You agree to:

  • Provide accurate, lawful, and timely information, content, and access;
  • Respond promptly to requests, reviews, and approvals;
  • Make payments as agreed in proposals or invoices;
  • Maintain a respectful, professional relationship with our team.

You warrant that any materials you provide are owned by you or properly licensed, and that we may use them to perform the services. Delays caused by the client may affect timelines and delivery.

5. Fees & Payments

Fees are due as set out in your Agreement or invoice. Late payments may result in paused or suspended services, late-payment interest where permitted, and recovery of reasonable collection costs. Recurring services continue until cancelled in accordance with the Agreement.

Unless stated otherwise in writing, deposits and fees for work already performed are non-refundable, and amounts are exclusive of applicable taxes.

6. Intellectual Property

All work, code, designs, and materials we create remain our property until we have received payment in full. Upon full payment, ownership or a license to the final deliverables transfers to you for their intended purpose, as specified in the Agreement. We retain ownership of our pre-existing materials, tools, frameworks, and know-how, and any third-party or open-source components remain subject to their own licenses.

Unless agreed otherwise in writing, we may display completed, non-confidential work in our portfolio and marketing.

7. Revisions & Approvals

Each Agreement specifies the included revision rounds. Additional changes or scope expansion may incur further fees. You are responsible for reviewing and approving deliverables promptly; items not flagged within the review window may be treated as approved.

8. No Guarantee of Results

We bring expertise, strategy, and best practices to every engagement, but marketing, advertising, ranking, and conversion outcomes depend on many factors outside our control, including your market, offer, budget, and third-party platforms. Any statistics, examples, or past results referenced on our site or in proposals are illustrative and are not a promise or guarantee of any specific outcome, revenue, or performance for your business.

9. AI, Voice & Automation Services

Our AI voice agents and automation services rely on third-party models and platforms and may occasionally produce inaccurate, incomplete, or unexpected outputs. You are responsible for reviewing AI-assisted outputs before relying on them and for ensuring your use complies with applicable laws, including consent, disclosure, recording, and industry-specific requirements. We do not warrant that AI systems will be error-free or uninterrupted, and you remain responsible for outcomes resulting from your deployment of them.

10. Third-Party Tools & Integrations

Our services may use third-party platforms (e.g., hosting, advertising, email, scheduling, and AI providers). We are not responsible for their availability, performance, security, pricing changes, or terms. Your use of those tools is governed by their own agreements and policies.

11. Confidentiality & Data Protection

Each party will keep the other’s confidential information private and use it only to perform or receive the services, except where disclosure is required by law. Where we process personal information on your behalf, we do so in line with our Privacy Policy and applicable data-protection laws, including PIPEDA and, where relevant, the GDPR.

12. Disclaimer of Warranties

Our website and services are provided “as is” and “as available,” without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement, to the fullest extent permitted by law.

13. Limitation of Liability

To the fullest extent permitted by law, Vortex Vision Marketing shall not be liable for:

  • Indirect, incidental, special, punitive, or consequential damages;
  • Loss of profits, revenue, data, goodwill, or business opportunity;
  • Delays, errors, or failures caused by third-party platforms or tools;
  • Outcomes arising from client-provided materials, instructions, or decisions.

Our total aggregate liability arising out of or relating to the services will not exceed the fees you paid to us for the specific engagement giving rise to the claim in the three (3) months preceding it.

14. Indemnification

You agree to indemnify and hold harmless Vortex Vision Marketing, its owners, employees, contractors, agents, and partners from any claims, liabilities, damages, losses, or legal costs arising from your use of our services, the materials or instructions you provide, your breach of these Terms, or your violation of any law or third-party right.

15. Termination

Either party may terminate an engagement with written notice as set out in the Agreement. Upon termination:

  • All outstanding fees for work performed become immediately due;
  • Work completed to date is delivered upon receipt of payment;
  • No refunds are issued for services already rendered.

We may suspend or terminate access immediately for non-payment, abuse, or breach of these Terms.

16. Force Majeure

We are not liable for any delay or failure to perform caused by events beyond our reasonable control, including outages, platform failures, cyber-attacks, natural events, government action, or other force-majeure circumstances.

17. Governing Law & Disputes

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-law rules. The parties submit to the exclusive jurisdiction of the courts located in Toronto, Ontario, regardless of where the client is located. The parties will first attempt to resolve any dispute in good faith before commencing proceedings.

18. Severability & Entire Agreement

If any provision of these Terms is found unenforceable, the remaining provisions stay in full effect. These Terms, together with any applicable Agreement and our Privacy Policy, constitute the entire agreement between you and us regarding the subject matter, and supersede prior discussions. Our failure to enforce any provision is not a waiver of it.

19. Modifications

We may update these Terms at any time. Changes take effect when posted on our website with a revised date. Your continued use of our services after changes are posted constitutes acceptance of the revised Terms.
